Terms of Service

1. Services Provided

Wisemedia provides digital infrastructure and automation services including but not limited to:

• Website design, development, and hosting
• Mobile app development
• Digital marketing (SEO, social media, paid ads)
• SaaS platform development and maintenance
• Automation systems (WhatsApp bots, CRM, AI tools)
• Ongoing support and monthly updates per plan

The specific services delivered depend on the plan selected (Basic, Growth, or Pro) as described on our pricing page.

2. Subscription Plans and Payment

2.1 Plan Selection

Services are provided on a monthly subscription basis. Plans are: Basic (₹1,999/month), Growth (₹3,999/month), and Pro (₹7,999/month).

2.2 Billing

• Subscriptions are billed monthly in advance on the date of signup
• Payment is due within 5 days of invoice date
• Accepted payment methods: UPI, bank transfer, Razorpay (cards, net banking)
• All prices are in Indian Rupees (INR)

2.3 Late Payment

Services may be suspended if payment is not received within 10 days of the due date. A late fee of ₹500 may apply. Accounts suspended for more than 30 days may result in data deletion (with prior notice).

2.4 Price Changes

We reserve the right to change subscription prices with 30 days' written notice. Continued use of services after the notice period constitutes acceptance of new pricing.

3. Free Domain and Setup

• One free domain (.com/.in) is provided for the first year only
• Domain renewal is ₹999/year from the second year onwards
• Setup is free but subject to availability of all required client content and materials
• The domain registered on your behalf remains your property; we are not responsible for domain renewal reminders

4. Client Responsibilities

You agree to:

• Provide accurate business information, content, images, and materials required for your project
• Respond to requests for information or approvals within 5 business days
• Ensure all content provided to us does not infringe any third-party intellectual property rights
• Not use our services for any illegal, fraudulent, or harmful purpose
• Not resell or sublicense our services without written consent
• Pay all applicable fees on time

5. Ads and Marketing Services

• Ad spend (budget paid to Google, Facebook, Instagram, etc.) is separate from our service fees
• Client pays ad spend directly to the advertising platform
• Wisemedia manages campaigns but does not guarantee specific ad results (ROAS, leads, conversions)
• Recommended minimum ad budget: ₹3,000–5,000/month for meaningful results
• Campaign performance depends on market conditions, competition, and client niche

6. Intellectual Property

6.1 Your Content

You retain ownership of all content, images, logos, and branding materials you provide to us.

6.2 Deliverables

Upon full payment, intellectual property rights for custom-developed websites, apps, and code created specifically for you transfer to you.

6.3 Our Tools and Templates

We may use proprietary tools, frameworks, or templates. These remain our property. You receive a license to use the final deliverable, not the underlying components.

6.4 Portfolio Rights

We reserve the right to showcase completed projects in our portfolio unless you specifically request otherwise in writing.

7. Cancellation Policy

• You may cancel your subscription with 30 days' written notice via email to info@wisemediaindia.com
• Cancellation takes effect at the end of the current billing month
• No refunds are issued for the current subscription month (see Refund Policy)
• Upon cancellation, you retain ownership of your domain and all paid deliverables
• We will provide your website files and content within 7 business days of cancellation

8. Limitation of Liability

Wisemedia's total liability to you for any claim arising from our services shall not exceed the total amount paid by you in the 3 months preceding the claim. We are not liable for:

• Loss of revenue, profits, or business opportunities
• Third-party platform outages (Google, Facebook, Instagram, WhatsApp)
• Delays caused by your failure to provide required content or approvals
• Results of advertising campaigns (as outcomes depend on market factors)
• Data loss due to circumstances beyond our reasonable control

9. Disclaimer of Warranties

Our services are provided "as is" without warranty of any kind, express or implied. We do not guarantee specific business results, rankings, leads, or revenue from our services. We do guarantee professional effort, industry-standard quality, and good faith service delivery.

10. Confidentiality

Both parties agree to keep confidential any proprietary business information, trade secrets, or non-public information shared during the course of our engagement. This obligation survives termination of service.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be first attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in Kolkata, West Bengal, India.

12. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, internet outages, or pandemics.

13. Amendments

We reserve the right to modify these Terms at any time. We will notify clients via email at least 15 days before material changes take effect. Continued use of services constitutes acceptance of updated Terms.
